Terms of Service

These terms govern your use of OrgBrief (“the Service”), operated by RogerSon Ltd (“we”, “us”, “our”). By creating an account or using OrgBrief, you agree to these terms. If you do not agree, do not use the Service.

We may update these terms from time to time. If we make material changes, we will notify you via the email address associated with your account. Continued use of OrgBrief after changes take effect constitutes acceptance of the updated terms.

1. The Service

OrgBrief is a SaaS platform for executive recruitment and search firms. It allows you to:

  • Upload CSV files containing organisational data (names, titles, departments, reporting lines).
  • Automatically generate org charts using AI-powered hierarchy inference.
  • Export charts as PDF and PowerPoint with custom branding.
  • Generate market reports comparing multiple organisations.
  • Share org charts via secure, expiring links.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of any changes that materially affect your use.

2. Account Terms

To use paid features, you must create an account. When you do, you agree that:

  • You are at least 18 years old or have authority to enter into this agreement on behalf of your organisation.
  • The information you provide is accurate and you will keep it up to date.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You will notify us immediately if you become aware of any unauthorised access.

One account corresponds to one organisation. If multiple people at your firm need access, they should each create their own account or contact us about team plans.

3. Free Trial

New accounts receive a 7-day free trial of OrgBrief Professional. During the trial:

  • You have full access to all Professional features.
  • No credit card is required to start the trial.
  • If you do not subscribe before the trial ends, your account reverts to the free plan.
  • Org charts created during the trial remain accessible on the free plan, subject to free plan limits.

We reserve the right to limit or modify the trial offer at any time. Only one trial per organisation.

4. Subscription and Billing

£499per month

OrgBrief Professional. Billed monthly. Cancel any time.

Subscriptions are billed monthly in advance via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

  • Billing starts at the end of your free trial, or immediately if you have already used a trial.
  • Prices are in GBP and exclusive of VAT where applicable.
  • We may change pricing with 30 days' written notice. Existing subscribers keep their current rate until the end of their billing cycle.
  • Failed payments will be retried up to 3 times over 7 days. If payment continues to fail, your account will revert to the free plan.

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.

5. Acceptable Use

You may use OrgBrief for lawful business purposes. You agree not to:

  • Upload data you do not have the right to use or process.
  • Use the Service to build a competing product or to reverse-engineer our algorithms.
  • Attempt to access other users' data, accounts, or systems.
  • Circumvent usage limits, rate limits, or security measures.
  • Use automated scripts or bots to access the Service without our written consent.
  • Upload content that is illegal, defamatory, or infringes on the rights of others.
  • Resell access to the Service without our written agreement.

Violation of these terms may result in immediate suspension or termination of your account.

6. Intellectual Property

Your data

You own your data. The CSV files you upload and the org charts generated from them are yours. We claim no ownership over your content. You grant us a limited licence to process your data solely for the purpose of providing the Service to you.

Our platform

OrgBrief, including its design, code, algorithms, templates, branding, and documentation, is owned by RogerSon Ltd and protected by copyright and intellectual property laws. Your subscription gives you a licence to use the platform — it does not transfer ownership of any part of it.

Feedback

If you provide us with feature suggestions, bug reports, or other feedback, you grant us the right to use that feedback without restriction or obligation to you.

7. Data Protection

We process personal data in accordance with UK GDPR and the Data Protection Act 2018. For full details on how we handle your data, see our Privacy Policy.

Where you upload data containing personal information about third parties (such as employees of your client organisations), you are responsible for ensuring you have a lawful basis to process that data. OrgBrief acts as a data processor on your behalf in these circumstances.

8. Limitation of Liability

To the fullest extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, whether express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or secure.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability to you for any claim arising from these terms or the Service is limited to the amount you have paid us in the 12 months preceding the claim.
  • We are not liable for decisions you make based on org charts or reports generated by the Service.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

9. Termination

By you

You can cancel your subscription and close your account at any time from your account settings, or by emailing hello@orgbrief.com. Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the free plan.

By us

We may suspend or terminate your account if you violate these terms, engage in abusive behaviour, or fail to pay after repeated attempts. We will provide notice where reasonably possible.

Effect of termination

Upon account closure, we will delete your data within 30 days, except where we are required to retain it by law (e.g., billing records). You can request an export of your data before closing your account.

10. General

  • Governing lawThese terms are governed by the laws of England and Wales.
  • DisputesAny disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
  • SeverabilityIf any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
  • Entire agreementThese terms, together with our Privacy Policy, constitute the entire agreement between you and RogerSon Ltd regarding OrgBrief.
  • AssignmentYou may not assign your rights under these terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
